TermsofService
Standard business terms, intellectual property ownership, and client engagement boundaries.
1. Scope of Engagement & Independent Contractor Status
Nitin Systems operates as an independent technical architecture and automation consultancy founded and led by Nitin Mishra. Services encompass custom workflow engineering, CRM integrations, database architecture, and API connectivity across platforms including Make.com, GoHighLevel, Airtable, HubSpot, Zapier, and OpenAI.
2. Statement of Work & Scope Creep Protection
All engagements proceed under a mutually defined Statement of Work (SOW) or written proposal specifying exact workflow triggers, data mappings, and target platforms. Once the initial architecture blueprint is approved, any additional features, extra webhook endpoints, or scope modifications requested by the client will be billed separately as a written Change Order or at a standard hourly advisory rate.
3. Payment Structure & Upfront Deposit Requirement
Unless explicitly agreed otherwise in writing:
• 50% Advance Deposit: Required before any project kickoff, discovery research, or architecture build begins.
• 50% Final Milestone: Due upon staging demonstration and validation prior to live production handover.
Initial advance deposits compensate Nitin Systems for committed engineering capacity, calendar reservation, and discovery modeling, and are strictly non-refundable.
4. Accepted Payment Methods
Payments are accepted through verified domestic and international commercial rails:
• International Clients (US, UK, Europe & Global): Wise, International Wire Transfer, PayPal, or Direct Invoicing.
• Domestic Clients (India): UPI, NEFT / IMPS Bank Transfer.
5. Project Cancellation & Deposit Forfeiture
If a client elects to cancel, postpone indefinitely, or terminate an engagement after work has commenced, the initial advance deposit is forfeited in full to cover completed architectural time. Nitin Systems retains exclusive ownership of all preliminary assets, blueprints, and draft scenarios created up to the point of cancellation.
6. Deliverable Release & Title Transfer
Upon receipt of final cleared payment, full operational ownership of the bespoke scenario configurations, database schemas, and documentation transfers to the client. Live production access credentials, webhook routing endpoints, and handover Loom walkthroughs are released exclusively upon complete settlement.
7. 30-Day Post-Launch Warranty
Nitin Systems provides a dedicated Direct Solo Delivery & Architecture Walkthroughs starting from the date of final delivery. During this period, any defects, routing bugs, or logic errors attributable to the original agreed build scope are diagnosed and resolved at zero additional charge.
8. Third-Party Platform Dependencies & Outage Disclaimer
Automation pipelines depend inherently on external cloud platforms, APIs, and AI models (including Make.com, Airtable, HubSpot, GoHighLevel, Zapier, Google Workspace, and OpenAI). Nitin Systems is not liable for service interruptions, server downtime, endpoint deprecations, rate limits, token quotas, pricing adjustments, or policy changes enacted by these third-party platforms. Clients are responsible for maintaining active, paid subscriptions and valid API credentials for all integrated services.
9. Intellectual Property & Framework Experience Rights
The client owns their proprietary business data, customer records, and custom configuration assets upon final payment. Nitin Systems retains full ownership of its pre-existing methodologies, modular automation logic, architectural blueprints, and the right to use knowledge gained to construct solutions for future clients without restriction.
10. Limitation of Liability & Consequential Damages Exclusion
To the maximum extent permitted by applicable law, Nitin Systems' total aggregate liability arising out of or related to any engagement shall not exceed the total fees actually paid by the client for the specific project under which liability arose. Under no circumstances shall Nitin Systems be liable for any indirect, special, incidental, punitive, or consequential damages, including loss of profits, lost revenue, lost leads, business interruption, or data corruption.
11. Communication Channels Consent
By engaging Nitin Systems, clients authorize communication regarding project updates, discovery clarification, staging reviews, and invoices through verified operational channels including Email, WhatsApp, LinkedIn Messaging, Slack, and Cal.com.
12. Governing Law & Exclusive Jurisdiction
These Terms of Service and all related client agreements are governed exclusively by the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India.
